About Our Contracts

As Contract Marketers, we ask all of our clients to sign a contract with us before we perform any work.

In short, our contracts are designed to benefit and protect both our business and yours.

Every contract is completely negotiable.

What the Contract Entails

The Scope of Work

Together, we’ll create a Scope of Work detailing exactly what C&E will do for your business. The Scope of Work will outline which platforms we’ll be working with, how often, and the way we’ll measure success.

This part of the contract is entirely customizable. You can pick exactly which services you want and how often you wish to see them performed, and the frequency of analytics reports.

Client Responsibilities

We’ll need certain things from you before we can get started, such as branding info, photos, and passwords. We use a free service called Last Pass, where you’ll create an account, enter your login information, and securely share it with us, without revealing the password.

The faster you get these action items completed, the faster we’ll be able to get to work.

Deliverables (Our Responsibilities)

Here, we’ll outline everything that C&E will deliver for your business. Deliverable dates will be outlined in this section and will be dependent on timing from the Client Responsibilities (above) and 3rd Party Costs (below).

For every deliverable, we’ll need a green light from you before we go ahead and publish. You’ll have the opportunity to request up to three revisions per deliverable. If you don’t like what we deliver, you can cancel the contract without a refund of the initial payment.

3rd Party Costs

Any 3rd party platform we use for your business, such as your domain name, web host, cost of advertising, etc. will be billed directly through the 3rd party.

If for some reason, you stop paying those fees, we’ll be unable to complete our deliverables.

We put this in our contract so you know 1. how much 3rd party costs will be and 2. so you know that it is your responsibility to pay for those things.

Our Service Fees

Our Service Fees simply exist to reward us for our time and energy as we complete your work. We ask for an initial deposit upfront and will send an invoice for the remaining service fees as outlined in the contract.

Confidentiality

A healthy working relationship between a business and contractors like us has a strong element of trust.

To protect both of us, we have a Confidentiality Agreement within our contract that prevents both of us from sharing private information with the outer world.

To us, private information includes passwords and anything you wouldn’t publish or can’t find online already. We tend to err on the side of caution when sharing anything with anyone.

Termination of Agreement

Because our contracts are month-to-month, the contract will automatically terminate when the Scope of Work has been completed and/or the contract ends.

You, as the business owner, can terminate the agreement anytime simply by notifying us three days in advance.

It also explains how we can terminate the contract if we feel like we need to. We’ll always give ten days’ notice.

Limitation of Liability

Neither party will be held responsible if the other cannot perform what the contract outlines. If you don’t do your part, then we don’t have to do ours. And vice versa.

Intellectual Property

This section of our contract explains how you, the business, own anything that is published from your brand. C&E will turn over access to anything that the business owns at the end of the contract.

This section also holds both of us accountable and prevents us from stealing intellectual property from someone else.

Dispute Resolution

If for some reason, there is a dispute between C&E and your business, we agree to mediation under Oregon law (where we reside). If you take us to court, you agree to pay for our legal fees and vice versa.
